TEMPLATE PURCHASE & OWNERSHIP TRANSFER AGREEMENT

This Agreement is entered into between:

Agata Business Services {sole trader} (ABS)(“Seller”) register in UK as Services

and

the purchaser completing this form(“Client”).

1. Nature of the Purchase

The Client is purchasing a digital website template created by Agata Business Services.

The Client is not purchasing website development, copywriting, graphic design, branding, SEO, consulting, marketing or any other professional service.

The product being sold is the template itself.

2. Wix Plan, Hosting & Domain Costs

The Client understands that operating a Wix website requires a separate Wix subscription plan and a domain name, which are not included in the template purchase.

These costs are paid directly by the Client to Wix or the domain provider.

ABS may advise the Client on which Wix plan is most suitable for their needs, but ABS does not sell, control or provide Wix plans, hosting or domains and is not responsible for their pricing, availability or performance.

3. Gratis Assistance (Free Support)

ABS may, at its discretion, provide limited assistance to help the Client use the template.This assistance is provided free of charge (“gratis”) and has no monetary value.

Gratis assistance may include:

• inserting the Client’s supplied text into the template

• inserting the Client’s supplied images and logo

• placing content into existing page sections

• adjusting text size or spacing to fit the layout

• basic formatting to ensure the content displays correctly

• publishing or transferring the template to the Client’s Wix account

Gratis assistance does not include:

• copywriting, rewriting or editing

• proofreading or corrections

• branding, logo design or graphic design

• SEO, keyword research or optimisation

• legal, compliance or regulatory checks

• content strategy or marketing advice

• creating new layouts, sections or pages

• image retouching, design or replacement

Any work outside the above may only be provided under a separate paid agreement.

4. Client-Supplied Content

The Client provides all text, images, logos and materials.

ABS will insert all content exactly as supplied.

No proofreading, corrections, rewriting, editing, compliance checking, SEO optimisation or legal review is included.

The Client is fully responsible for:

• accuracy

• spelling and grammar

• claims and statements

• copyright and trademark rights

• legal and regulatory compliance

5. No Revisions

The product sold is the template.

ABS does not provide revisions, corrections or changes to the Client’s supplied content or layout.

Any changes, redesigns or editing requested by the Client require a separate paid agreement.

6. Ownership Transfer

Upon successful payment:

The Client receives full ownership of the purchased template and may:

• use it for their business

• modify it

• publish it on their own Wix account

ABS retains all intellectual property rights to the original template design framework and underlying template structure.

7. Digital Product & Refund Policy

This is a digital product.

All sales are final. No refunds are available once the template is delivered, accessed, transferred or used.

8. Limitation of Liability

ABS is not responsible for:

• Wix subscription costs

• domain registration costs

• hosting or platform availability

• business results

• SEO rankings

• customer conversions

• legal or regulatory compliance

• website performance

• losses or damages arising from the use of the template

The template is provided “as is.”

9. Governing Law

This Agreement is governed by the laws of England and Wales.All disputes shall be handled exclusively in the courts of England and Wales.
